Contracts are the foundation of every commercial relationship, yet many professionals who sign, manage or rely on them have never received formal training in how they work. Misunderstanding a contractual term, missing a vitiating factor or mishandling a breach can expose an organisation to significant financial and reputational risk. This course closes that gap, giving professionals a working command of contract law that they can apply immediately in their roles.
Participants will examine how contracts are formed and what makes them legally binding, explore the rules governing contractual terms and content, and develop practical skills in identifying and responding to vitiating factors such as misrepresentation, duress and undue influence. The course also addresses contract discharge and remedies, equipping participants to assess breach situations and understand the options available. Throughout, the course integrates current developments including AI-generated contracts, smart contracts and the legal challenges they present for traditional contract doctrine.
This course is derived from LIBT's Extended Diploma in Law. Participants who complete this certificate and wish to gain academic credit may submit the module assignment through LIBT's academic pathway. Completing the full diploma provides direct entry into the final year of an undergraduate law degree at one of LIBT's university partners.
Analyse the principles of contract formation including offer, acceptance and consideration.
Evaluate the rules governing contractual terms, distinguishing between conditions, warranties and innominate terms.
Identify vitiating factors including misrepresentation, duress and undue influence and assess their legal consequences.
Evaluate the mechanisms through which a contract can be discharged including breach, performance and frustration.
Assess the remedies available for breach of contract and advise on appropriate courses of action.
